Terms of Service

These Terms of Service ("Terms") apply to your use of wisconsinregisteredagent.co (the "Site") and the registered agent services (the "Services") offered by Wisconsin Registered Agent.co ("we," "us," or "our"). Using the Site or signing up for Services means you agree to these Terms.

1. What We Provide

Wisconsin Registered Agent.co offers registered agent services in Wisconsin, which includes:

• A physical registered office address in Wisconsin that complies with Department of Financial Institutions (DFI) requirements
• Acceptance of service of process and legal documents delivered to that address during normal business hours
• Same-day scanning and electronic forwarding of received documents
• A secure digital document vault for ongoing access to your correspondence history
• Compliance reminders for annual report deadlines and other DFI obligations

That is the extent of our Services. We are not a law firm, tax preparer, or business formation service.

2. Who Can Use Our Services

You must be:

• At least 18 years old
• Authorized to act for the business entity you are registering
• Willing to provide accurate and truthful information

3. Pricing

• Services cost $99 per year, charged as a single annual payment
• Payment is due at enrollment and again at each annual renewal
• We accept the payment methods shown on the Site
• If payment fails, we may suspend Services after giving you notice
• We will notify you at least 30 days before any price change takes effect on your next renewal

4. Your Subscription Term

Service starts on your enrollment date and lasts twelve months. It auto-renews at the current rate unless you cancel before the renewal date. We send reminders ahead of time.

5. What We Expect from You

You agree to:

• Give us accurate business and contact information and update it when things change
• Check your forwarded documents and act on them when needed
• Keep your entity in good standing with the DFI on your own
• Only use our address for registered office purposes — not as a general mailing address, package delivery point, or commercial address
• Appoint a new agent before canceling so your entity does not fall out of compliance

6. How We Handle Documents

• We accept documents delivered to the registered office during normal business hours
• Accepted items are scanned and forwarded electronically the same business day
• We are not responsible for interpreting documents or advising you on what to do with them
• Physical originals are held for a reasonable time and then securely destroyed
• We cannot be held responsible for items that arrive after hours, are misaddressed, or are undeliverable for reasons beyond our control

7. We Are Not Lawyers

Wisconsin Registered Agent.co is not a law firm. We do not give legal advice, interpret documents, file paperwork on your behalf, or represent you anywhere. If you need legal guidance, talk to a licensed Wisconsin attorney.

8. Limits on Our Liability

To the extent allowed by law:

• The most we owe you for any claim related to our Services is whatever you paid us in the 12 months before the claim arose
• We are not on the hook for indirect, incidental, consequential, special, or punitive damages
• We are not liable for forwarding delays caused by things outside our control — postal problems, natural disasters, tech outages, etc.
• We are not responsible for what you do (or do not do) with forwarded documents

9. Canceling

• Email support@wisconsinregisteredagent.co to cancel
• Cancellation kicks in at the end of your current paid year
• No partial refunds unless we decide otherwise at our discretion
• Before your service ends, designate a new registered agent with the DFI to keep your entity compliant

10. Changes to These Terms

We can update these Terms. New versions take effect when posted here with a new date. Continuing to use the Site or Services after that means you accept the changes. We will try to email active clients about significant updates.

11. Governing Law

Wisconsin law governs these Terms. Disputes will be resolved in state or federal courts in Wisconsin, and you agree to jurisdiction there.

12. Indemnification

You agree to indemnify and hold harmless Wisconsin Registered Agent.co, its owners, employees, and agents from claims, losses, damages, and expenses (including attorney fees) arising from your use of the Services, breach of these Terms, or your business activities.

13. Severability

If a court finds any part of these Terms unenforceable, the rest still stands.

14. Entire Agreement

These Terms plus our Privacy Policy are the whole deal between us regarding the Services. They replace any prior conversations or agreements on the topic.
